    Thanks, xMorpheousx416,  for the reply.  I ran Regseeker ( nice program!) but to no avail.  Also tried the run cmd line also with no luck.   So, now for the questions....

    1.  When you mentioned uninstalling AV, would disabling it work?  I am running Norton Internet Suite and can disable for period of time to run the regseeker program or woukd I have to uninstall it?

    2. Would runnning Win2k repair help with this app ( not recovery console just repair windows)?

     Uninstall your AV program for now.  If that still does not work, repairing the installation may do the trick... then all you'll have to do is reinstall the system drivers, chipset, video, sound... maybe a few others.
